Estonian listed food group AS PRFoods has completed the sale of its wholly owned fish-processing subsidiary Saare Kala Tootmine OÜ (SKT) to Latvian seafood company Brīvais Vilnis A/S, marking a significant restructuring of the Baltic region's farmed and processed seafood supply chain. The transaction was executed through PRFoods' subsidiary Saaremere Kala AS, which acted as the seller, transferring 100% of the equity stake in SKT alongside shareholder loan receivables and an inventory loan claim.

The deal carries direct implications for ingredient and co-manufacturer procurement across the Baltic seafood corridor. SKT operated as a fish-processing facility — a category of supplier that feeds smoked, marinated, and portioned seafood ingredients to retail private-label programs, food-service distributors, and further-processing co-manufacturers across Northern and Central Europe. Its transition to Brīvais Vilnis ownership consolidates two Baltic processing assets under a single Latvian operator, which could influence regional capacity allocation, specification sheet compliance, and COA continuity for existing buy-side customers.

Under the terms disclosed to Nasdaq Tallinn, the closing triggered a promissory note agreement between Saaremere Kala AS and Brīvais Vilnis A/S. The note governs the payment of the outstanding purchase price for the SKT equity stake and the assigned inventory loan receivables, effectively structuring a vendor-financing arrangement. No transaction value was disclosed in the public filings. PRFoods shareholders ratified the deal at a general meeting on 18 May 2026, satisfying the final condition precedent before closing on 10 June 2026.

For procurement teams and ingredient buyers sourcing smoked or value-added fish products from the Eastern Baltic, the ownership change introduces standard supply-continuity considerations: buyers should seek updated specification sheets and TDS documentation from SKT's new parent, confirm that existing Kosher, Halal, or organic-certified status — if applicable — has been transferred or revalidated under Brīvais Vilnis quality systems, and verify allergen statements and traceability chain-of-custody given the change in legal entity. Minimum order quantities and lead times may also shift as the new owner integrates SKT's production scheduling.

The divestiture is consistent with a broader consolidation trend in Baltic and Nordic seafood processing, where scale efficiencies, feed-cost pressure, and EU sustainability labeling requirements are pushing smaller processing units toward larger regional operators. Brīvais Vilnis, one of Latvia's most established fish-canning and processing groups, gains incremental capacity and — potentially — additional species or processing formats that complement its existing portfolio. For PRFoods, the disposal sharpens its focus on its remaining aquaculture and salmon-processing operations in Finland and Estonia.
