Combined Company to Organize Into Four Consumer and B2B Divisions McCormick & Company has revealed the planned structure for its combination with Unilever's Foods business, expected to close by mid-2027. The combined entity will operate through four reportable segments: Americas Consumer, International Consumer, Global Food Service, and Global Flavor. Brendan Foley, McCormick's Chairman, President and Chief Executive Officer, said, "Our planned operating model is designed to place consumers and customers at the center of the combined business, enabling disciplined execution, enhanced innovation, and sustainable long-term growth, while supporting a rewarding employee experience. Our anticipated Executive Team will bring together proven leaders from both McCormick and Unilever Foods, from a diverse set of backgrounds and skill sets, and with deep knowledge of our brands, categories, customers, and geographies, positioning us well to capitalize on our expanded global platform, realize expected synergies, and create value for all stakeholders."
Division Sizing and Structure The two consumer divisions reflect geographic scale in the combined company's retail herb, spice, seasoning, cooking aid, condiment, and sauce business. Americas Consumer is projected to generate $8 billion in 2025 annual sales across North, Central, and South America. International Consumer will contribute $7 billion in 2025 sales across EMEA and APAC regions. Global Food Service, with $4 billion in 2025 projected sales, will unite Unilever's back-of-house foodservice and chef-to-chef culinary expertise with McCormick's brand-driven front-of-house capabilities to serve restaurants and away-from-home channels. Global Flavor, projected at $2.5 billion in 2025 sales, will provide customized specialty flavors, seasonings, condiments, and coatings to food, beverage, and consumer health companies, as well as restaurant chains. McCormick said the division will leverage customer needs, consumer insights, and technical expertise across markets to accelerate innovation.
Executive Leadership and Geographic Footprint Foley will remain CEO and CFO Marcos Gabriel will stay in his role.

Secondary Listing and Integration Planning McCormick intends to seek a secondary listing on the London Stock Exchange to complement its primary New York Stock Exchange listing. Foley said, "This will facilitate capital flows and enhance overall liquidity for shareholders. This selection follows McCormick's and Unilever's commitment at transaction announcement to plan a secondary stock listing in Europe to reflect the global nature of Unilever's current shareholder base." An Integration Management Office will oversee synergy realization and cultural alignment post-close, with transition services agreements expected to last up to 24 months. McCormick plans to detail revenue and cost synergies and TSA scope by the end of the third quarter.
